These General Terms & Conditions govern your access to and use of the Rubey website, marketplace and investor portal. They describe the rights and obligations of Rubey and its users, including visitors, registered users and investors. We encourage you to read them carefully before using the platform or making any investment through Rubey.

These General Terms & Conditions govern access to and use of the Rubey website, marketplace and investor portal, operated by Rubey BV, a Belgian company registered under number BE0637.818.352.
They apply to all visitors, registered users and investors, with specific provisions depending on the user’s role.
By accessing or using the website, registering an account or making an investment through Rubey, you acknowledge that you have read, understood and accepted these General Terms & Conditions. If you do not agree, you must refrain from using the platform.
Rubey provides a digital platform enabling users to access information about investment projects, register as users, complete qualification and compliance procedures, and acquire or transfer tokenized assets where legally permitted.
Rubey does not provide investment advice, financial advice, tax advice or legal advice. All information made available through the platform is provided for informational purposes only.
Any investment decision is made solely by the user, at their own initiative and risk.
Access to certain functionalities of the platform requires registration. Users must provide accurate, complete and up to date information.
Rubey reserves the right to refuse, suspend or terminate access to an account if information is inaccurate, incomplete, misleading, or if required by legal or regulatory obligations.
Users are responsible for safeguarding their login credentials and for all activity occurring under their account.
Access to investment functionalities is subject to applicable eligibility criteria, including but not limited to age, residency, investor qualification and compliance with KYC and AML requirements.
Rubey reserves the right to request additional information or documentation at any time to ensure ongoing compliance.
Failure to meet or maintain eligibility requirements may result in suspension or restriction of access, without affecting existing ownership rights in previously acquired assets.
Certain investment products offered through Rubey are structured as tokenized assets representing fractional interests or rights in underlying assets.
Tokenized assets are subject to specific legal, technical and regulatory constraints, including transfer restrictions, eligibility requirements and holding conditions.
Ownership of tokenized assets does not guarantee liquidity, resale opportunities or investment performance.
Where a secondary market or bulletin board functionality is made available, Rubey acts solely as a technical and administrative platform provider.
Rubey is not a counterparty to transactions between users and does not guarantee that buyers or sellers will be available.
Rubey does not guarantee liquidity, pricing, execution or settlement of secondary market transactions.
All transactions conducted on the secondary market are executed at the sole risk and responsibility of the users involved.
Rubey aims to provide continuous access to the platform but does not guarantee uninterrupted or error free operation.
Rubey may temporarily suspend access for maintenance, upgrades, security reasons or technical issues, without prior notice where necessary.
Rubey reserves the right to modify, limit or discontinue functionalities of the platform at any time.
All content, software, trademarks, logos, text, images and other materials on the platform are the intellectual property of Rubey or its licensors.
Users may not reproduce, distribute, modify or exploit any content without prior written consent, except as permitted by mandatory law.
To the maximum extent permitted by law, Rubey shall not be liable for indirect or consequential damages, including loss of profit, loss of opportunity, reputational damage or loss resulting from market fluctuations.
Rubey shall not be liable for losses arising from investment decisions, valuation changes, lack of liquidity, or regulatory restrictions affecting tokenized assets.
Nothing in these General Terms & Conditions excludes liability for fraud, wilful misconduct or liability that cannot be excluded under applicable law.
Rubey may suspend or terminate access to the platform, with immediate effect, where required by law, regulation, or in case of breach of these General Terms & Conditions.
Termination of access does not affect existing ownership rights in tokenized assets, which remain governed by applicable project documentation and law.
Personal data is processed in accordance with the Privacy Policy, which forms an integral part of these General Terms & Conditions.
By using the platform, users acknowledge that they have read and understood the Privacy Policy.
Rubey may amend these General Terms & Conditions from time to time. Updated versions will be made available on the platform.
Continued use of the platform after publication of changes constitutes acceptance of the amended terms.
These General Terms & Conditions are governed by Belgian law.
Any dispute arising out of or in connection with these terms shall fall under the exclusive jurisdiction of the competent courts of Antwerp, Belgium.
In case of conflict between these General Terms & Conditions and project specific documentation, the project specific documentation shall prevail.
